質問

あまりの難解さ（だと私が思っているだけかもしれませんが）に頭を抱えてしまいました。どうぞお助けください。

Control means the possession, directly or indirectly or as trustee or executor, of the possessor to direct or cause the direction of the affairs or management of an entity, whether through ownership of voting securities, as trustee or executor, by contract or otherwise, including, without limitation, the ownership, directly or indirectly, or securities having the power to elect a majority of the board of directors or similar body governing the affairs of such entity.

こんな風に訳してみましたが…、意味不明ですよね(~_~;)

管理とは、直接または間接に、受託者または実施者として、所有者が業務の指示または企業体の経営を指揮するための所有を意味し、受託者または実施者として、契約またはその他の手段により、直接または間接に、議決権のある株式持分の所有権獲得を経る所有権（ただしそれに限定されない）によるか、または役員会もしくは企業体の業務をまとめる、類似団体の過半数を得る力を持つ有価証券を持つかによる。

こんにちわ。

まず、その英文ですが、 the possessor　は間違いでしょう。 Control means the possesion, ..., of the possessor to ...　とはならない（意味的にもありえない）からです。power　でしょう（確認下さい。仮にそうなら、その英文自体がおかしいでしょう）。また、最後の方に、　or securities having the power to ...　の or　は of　ですね。

構文的には簡単なんで、あとは、日本語をどのようにうまく「それなりに（＝法律文的に）」書くか、と思います。

構文は、基本的には、 Control means the possession .... of the power（possessionでは間違いのはずです）to direct or cause the direction of the affairs or management of an entity, through ....　で、 .....　はあくまでも挿入されているだけ。

用語等については、下記（試訳）にしますが、貴殿の関係案件にあうように適切な日本語にしてください：

control：これは「管理」ではなく「支配」をいっています。

entity：　これは、企業、団体、機関（公私）などいろんな組織体をふっくるめたものですが「組織体」としておきます。

securities：　これは株式、社債やその他のものも含まれまれますが、ここではいちおう「証券」としておきます。

directors：　会社では「取締役」を意味することが多いですが、similar govering body　にも関係しますから、ここではいちおう「役員」としておきます。

governing body:　これは、たとえば経営委員会（米国当りでは取締役でない外部のメンバーも多い）などのような重要決定をする機関等のことゆえ「委員会等」としておきます。

試訳：

「支配」とは、組織体の業務ないし経営に関して、受託者または執行者として、直接または間接的に、その取締役会ないし同様の権限を有する委員会等の役員の過半数を選出する権限を有する証券（これに限定されないが）の直接ないし間接的所有を含む議決権付証券を、受託者または執行者として、契約上ないしその他の権限で所有することを通して指示ないし指揮する権限の所持を意味する。

いそいで書きましたので、日本語文のブラッシュアップと貴社も目的に合った用語への変更をしてください。
